1. Agreement to Terms

By accessing or using Indexara ("Service"), operated by Indexara ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including free trial users and paid subscribers.

2. Description of Service

Indexara is an AI-powered document intelligence platform that enables users to upload, index, and search documents using semantic and full-text search. The Service includes a web portal, API, workspace containers, and integrations with AI assistants via the Model Context Protocol (MCP).

3. Accounts and Registration

To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must notify us immediately of any unauthorized use of your account. We are not liable for any loss arising from unauthorized use of your account.

4. Subscription Plans and Billing

The Service offers multiple subscription tiers (Trial, Starter, Pro, and Enterprise) with varying features, storage limits, and search quotas as described on our Pricing page.

  • Trial accounts are free and subject to the limits described at sign-up.
  • Paid subscriptions are billed monthly in advance via Square or PayPal. Prices are in US dollars.
  • You may upgrade, downgrade, or cancel your subscription at any time from your billing settings.
  • Cancellations take effect at the end of the current billing period. No partial refunds are provided.
  • We reserve the right to change pricing with 30 days' advance notice to existing subscribers.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or to violate any applicable law or regulation.
  • Upload content that infringes on any third party's intellectual property rights.
  • Upload malicious files, viruses, or code intended to disrupt the Service.
  • Attempt to gain unauthorized access to the Service, other accounts, or related systems.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Use the Service to store or transmit content that is illegal, defamatory, or harmful.
  • Resell, redistribute, or sublicense access to the Service without written permission.
  • Exceed your plan's usage limits through automated means or circumvent rate limiting.

6. Your Content

"Your Content" means any documents, files, data, or other materials you upload to the Service. You retain all ownership rights to Your Content.

By uploading content, you grant us a limited, non-exclusive license to process, index, store, and serve Your Content solely for the purpose of providing the Service to you. We do not access, use, sell, or share Your Content for any other purpose.

You are solely responsible for Your Content and must ensure you have the right to upload it. We are not responsible for the accuracy, legality, or appropriateness of Your Content.

7. Data Isolation and Security

Each organization's data is stored in isolated containers and separate storage volumes. We implement industry-standard security measures including encryption in transit (TLS) and at rest. However, no method of electronic storage is 100% secure, and we cannot guarantee absolute security.

8. AI and Search Features

The Service uses artificial intelligence and machine learning models to generate embeddings, perform semantic search, and provide document analysis. AI-generated results are provided "as is" and may not always be accurate or complete. You should verify important information independently.

The Service may integrate with third-party AI assistants via MCP. Your use of such integrations is subject to the third party's terms of service in addition to these Terms.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.

10. Intellectual Property

The Service, including its design, code, algorithms, documentation, and branding, is owned by Indexara and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or branding without prior written consent.

11. Termination

We may suspend or terminate your account if you violate these Terms or if required by law. Upon termination:

  • Your access to the Service will cease immediately.
  • You may request an export of Your Content within 30 days of termination.
  • After 30 days, Your Content will be permanently deleted.

You may delete your account at any time. Upon deletion, the same data retention policy applies.

12. Limitation of Liability

To the maximum extent permitted by law, Indexara shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or related to your use of the Service.

Our total liability for any claim arising under these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

13. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

14. Indemnification

You agree to indemnify and hold harmless Indexara, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the Service or violation of these Terms.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the revised Terms.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.
